1. Agreement to Terms

By accessing or using Flexible Lab Space ("the Platform"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you do not have permission to access the Platform.

2. Disclaimer of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. Neither Flexible Lab Space nor its operators, affiliates, licensors, or service providers shall be liable for any damages arising from or related to your use of the Platform.

We do not:

• Guarantee the accuracy, completeness, or usefulness of any information on the Platform
• Verify or validate the credentials, qualifications, or capabilities of any users
• Guarantee the quality, safety, or legality of listed lab spaces or equipment
• Ensure the security or privacy of any transactions or interactions between users
• Accept responsibility for any user's compliance with applicable laws and regulations

3. User Responsibilities

Users are solely responsible for:

• Verifying the suitability of any lab space or equipment for their intended use
• Obtaining necessary permits, licenses, and insurance
• Complying with all applicable laws, regulations, and safety standards
• Conducting due diligence on other users before entering into any agreements
• Protecting their own confidential information and intellectual property

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FLEXIBLE LAB SPACE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Platform
• Any conduct or content of any third party on the Platform
• Any content obtained from the Platform
• Unauthorized access, use, or alteration of your transmissions or content
• Any transactions or agreements between users of the Platform
• Any property damage, personal injury, or death resulting from use of listed lab spaces or equipment

5. Indemnification

You agree to defend, indemnify, and hold harmless Flexible Lab Space and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Platform
• Your violation of any term of these Terms of Service
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your content caused damage to a third party

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be exclusively brought in the federal or state courts located in Boston, Massachusetts.

7. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. It is your responsibility to review these Terms periodically for changes.
